VELLO Terms of Service
1. Plain-Language Summary
These Terms govern your use of the VELLO platform. In summary:
- VELLO provides software tools to facilitate estate visitor processing and perimeter management. We do not provide armed security guards or physical perimeter fencing.
- Residents are responsible for passes issued from their household account. Do not issue passes to individuals not known to you.
- Do not share security OTPs, master PINs, or guard device passcodes with unauthorized parties.
2. What You Can Expect from VELLO
Vellum & Vector Technologies Ltd commits to providing high-reliability access infrastructure:
- Continuous Service & 99.5% Cloud SLA: Core cloud API uptime commitment, subject to scheduled off-peak maintenance (Sundays 01:00–04:00 WAT with 48h prior notice) and upstream telecommunication/grid carve-outs as detailed in our formal Service Level Agreement.
- Offline Cryptographic Continuity: When mobile networks or fibre connections in Nigeria experience downtime, gate devices continue validating passes locally on gate tablets without interrupting gate throughput.
- Software Security Updates: Proactive encryption key rotation, bug fixes, and performance updates deployed seamlessly.
3. What We Expect from You
By using VELLO, you agree to adhere to standard community security standards:
- Authorized Pass Issuance: Do not issue passes for unauthorized commercial operations or fraudulent entry.
- Respect for Gate Security Staff: Security guards are frontline personnel performing vital safety duties under HOA bylaws. Abuse or harassment is grounds for immediate credential suspension.
- Prohibition of Reverse Engineering: You agree not to decompile, alter, or forge cryptographic QR payloads, token signatures, or token generation routines.
4. Emergency SOS & Security Disclaimers
The VELLO Emergency SOS feature acts as an immediate internal digital notification relay to on-duty gate staff and registered estate managers.
VELLO is not an emergency dispatch agency, police constabulary, or armed response service. For armed robberies, active violent crimes, or severe medical emergencies, users must contact the Nigerian Police Force (NPF) or Lagos State Emergency Services (112 / 767) directly.
5. Gate Hardware & Operational Continuity
Estate management hardware (gate tablets, scanners, and brackets) remain in the bailment and care of the subscribing estate. In the event of device theft, management must report the incident within two (2) hours so remote cryptographic revocation can be initiated.
6. Limitation of Liability & B2B Remedy Cap
To the maximum extent permitted by Nigerian law, VELLO's total aggregate liability arising out of or related to these terms or the service shall not exceed the total subscription fees paid by the estate in the twelve (12) months preceding the incident. Neither party shall be liable for indirect, incidental, or consequential damages.
7. Dispute Resolution & Arbitration
These Terms are governed exclusively by the laws of the Federal Republic of Nigeria. Any controversy or dispute arising out of or relating to these terms shall be settled by binding arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023.
